Terms and Conditions – Celure (EU-Compliant)

These Terms and Conditions apply to all offers, orders, and distance contracts between Celure and consumers in the European Union.
1. Definitions
- Consumer: a natural person acting for purposes outside their trade, business, or profession, who enters into a distance contract with the entrepreneur.
- Entrepreneur: the natural or legal person offering products or services at a distance to consumers.
- Distance Contract: a contract concluded in the context of a system organized by the entrepreneur for distance sales of products and/or services, exclusively using means of distance communication.
- Right of Withdrawal: the consumer’s right to withdraw from a distance contract within 14 days without giving a reason.
- Durable Medium: any means that allows the consumer or entrepreneur to store information personally addressed to them in a way that enables future consultation and unchanged reproduction.
- Long-term Transaction: a distance contract involving repeated delivery of products and/or services over a period of time.

3. Applicability
- These Terms and Conditions apply to all offers, distance contracts, and orders between Celure and EU consumers.
- Before concluding a contract, consumers will be given access to these Terms, in a durable medium if possible.
- Specific product or service conditions may apply, and in case of conflict, the provision most favorable to the consumer prevails.
4. The Offer
- Offers are non-binding unless otherwise stated. Celure may modify or withdraw offers.
- Offers include accurate descriptions, prices (excluding VAT/import duties if applicable), delivery times, and payment conditions.
- Images and descriptions are indicative; slight variations may occur.
- Any additional costs, such as import duties or shipping beyond the EU, will be borne by the consumer.
5. Formation of the Contract
- A contract is formed when the consumer accepts an offer and fulfills its conditions.
- For electronic contracts, acceptance is confirmed via email. Until confirmation, the consumer may withdraw.
- Celure implements appropriate technical and organizational measures to ensure secure electronic transactions.
- Consumers are informed of:
- Complaint procedures;
- Right of withdrawal and how to exercise it;
- Warranty and after-sales services;
- Terms and conditions relating to long-term contracts.
6. Right of Withdrawal (EU)
- Consumers may withdraw within 14 days of receiving a product without reason.
- Products must be handled carefully and only unpacked as necessary to inspect them.
- To exercise withdrawal, consumers must notify Celure via email. The product must then be returned within 14 days. Proof of shipment is required.
- Exceptions: custom-made products, personalized items, perishable goods, sealed hygiene or health products once opened, unsealed software/audio/video recordings, and services already begun with consent.
7. Costs of Withdrawal
- Return shipping within the EU is covered by Celure.
- Refunds will be processed within 14 days of receipt of the returned product or proof of return.
8. Price
- Prices are fixed for the validity period of the offer, except for VAT changes or market-based fluctuations beyond Celure’s control.
- Prices are shown in Euros and may exclude import duties for non-EU deliveries.
9. Payment
- Payment is due within 7 days after the withdrawal period starts unless otherwise agreed.
- Consumers must immediately report incorrect payment information.
- In case of late payment, reasonable costs may be charged in compliance with EU law.
10. Delivery
- Orders are processed with care and delivered within 3–7 business days across the EU, unless otherwise agreed.
- Delays or partial deliveries will be communicated within 30 days. Consumers may cancel without cost and may be entitled to compensation.
- Risk of loss or damage remains with Celure until delivery to the consumer or designated representative.
11. Conformity and Warranty
- Products must comply with the contract, advertised specifications, EU consumer law, and relevant safety standards.
- Manufacturer warranties do not affect statutory consumer rights.
- Defects must be reported within 14 days. Returned items must be in original condition and packaging.
- Warranty is void if products are misused, altered, or exposed to abnormal conditions.
12. Complaints
- Complaints must be submitted within 7 days of discovering a defect.
- Complaints will be answered within 14 days, or an acknowledgment will be sent with an estimated response time.

13. Long-term Transactions
- Consumers may terminate indefinite contracts at any time with 1-month notice.
- Fixed-term contracts may only be terminated at the end of the term with 1-month notice.
- Subscription-type agreements for newspapers, magazines, or trial products may have specific notice and renewal rules.
14. Governing Law
- Dutch law applies to contracts with Celure.
- EU consumers retain all rights under EU consumer protection legislation.
